Welcome to our agency. By using our services, you agree to these Terms of Service. If you don't agree, that’s totally fine — but please refrain from using our services. We aim to keep everything clear, collaborative, and above board.
These Terms form a legally binding agreement between you (the Client) and us (the Agency). They apply to all projects, proposals, and interactions unless explicitly overridden by a signed contract.
Our Agreement
When you hire us, you're engaging us to design, build, and deliver a digital product or service, based on a mutually agreed-upon scope and timeline. In return, you agree to pay for our work and follow the terms outlined here.
We'll provide our services with professionalism, diligence, and care — and we expect timely feedback, honesty, and cooperation from your end to ensure a successful outcome.
Scope of Work
Every project begins with a clear scope defined in a proposal or statement of work. This scope includes deliverables, milestones, timelines, and pricing.
Requests for additional features, functionality, or design changes outside the agreed scope may result in a revised quote, an adjusted timeline, or a separate follow-up project. We’ll always communicate this transparently before proceeding.
If you ask for more without re-scoping, we may politely say no — or send an invoice. We’re developers, not magicians.
Payments
Payment terms will be outlined in the project proposal, invoice, or contract. In general, we work on a milestone, retainer, or phased billing basis.
All invoices are payable within the timeframe specified (usually 7–14 days). We reserve the right to pause all work if payments are overdue beyond 7 days.
Please note: late payments may delay the delivery of your project and may result in additional fees. You get paid for your work — so do we.
Intellectual Property
Upon full and final payment, ownership of the final deliverables (code, design assets, documents, etc.) is transferred to you, the Client. Until full payment is received, we retain ownership rights.
We reserve the right to showcase non-confidential work in our portfolio, marketing, and case studies unless you specifically request otherwise in writing before the project begins.
We retain full rights to all our internal libraries, utilities, frameworks, templates, and development tools — even if they’re used in your project. You’re paying for a solution, not our entire toolbox.
Client Responsibilities
To keep your project moving smoothly, we rely on you to provide timely feedback, approvals, content, and required information. Delays in communication may result in project rescheduling or additional charges.
If we reach out multiple times and don’t hear back within a reasonable window (usually 7 business days), we may pause the project and reschedule it at our discretion.
If your delay causes significant disruption, we may invoice for work completed to date and consider the project dormant or closed.
Timelines & Delays
We work hard to meet the timelines we set. However, timelines are estimates, not guarantees — especially when external dependencies (like client feedback, third-party APIs, or platform approvals) are involved.
If delays occur on your end, we may need to reschedule work around other commitments. If delays occur on our end, we’ll communicate them transparently and aim to minimize the impact.
We're flexible and communicative — but timelines go two ways.
Revisions
Each project includes a defined number of revision rounds. These are specified in the proposal and are meant to polish and refine the work — not to overhaul it completely.
Additional revisions beyond the agreed amount will be billed at our current hourly or per-feature rate. We’ll always let you know in advance before applying extra charges.
We aim for a shared vision — not an endless feedback loop.
Cancellation & Termination
You may cancel the project at any time by notifying us in writing. If you cancel after work has started, you agree to pay for all work completed up to that point. This includes hours worked, third-party costs, and any non-refundable expenses incurred.
We reserve the right to terminate a project if communication breaks down, payments are not made, or the working relationship becomes unproductive or hostile. This is rare — but it’s part of doing business responsibly.
In the event of cancellation or termination, all rights to unfinished work remain with us unless otherwise agreed.
Refunds Policy
We aim to provide excellent service and value. That said, we understand that things don't always go as planned. This section outlines when refunds are and are not available.
Refunds may be issued in the following situations:
If the client cancels the project before any work has started, a full refund will be granted.
If no meaningful progress has been made and the project is significantly delayed due to our agency’s fault, a partial or full refund may be considered.
If a duplicate payment is made, the excess amount will be refunded in full.
Refunds will not be provided in the following cases:
If work has already started and the client changes their mind.
If the client is unsatisfied due to subjective preferences after stages of the project have been approved.
If delays or issues are caused by the client, including missed communication, slow feedback, or incomplete information.
We reserve the right to assess refund requests on a case-by-case basis. Our goal is to be fair and transparent, we appreciate the same from you.
Liability & Warranty
We commit to writing reliable, maintainable code and delivering high-quality assets. If bugs or defects arise in our work within 30 days of project completion, we will fix them at no additional cost — provided they are within scope.
We are not liable for any loss of revenue, data, reputation, or other indirect damages resulting from the use or misuse of our work. This includes issues caused by third-party tools, hosting platforms, or software updates.
While we take every reasonable step to ensure your success, our liability is strictly limited to the total fees paid to us for the project in question.
Legal Stuff
These Terms of Service are governed by the laws of [Your Country/State]. In the event of a dispute, we agree to attempt resolution through direct communication and, if necessary, mediation — before considering legal proceedings.
Any legal disputes will be handled in the jurisdiction where our agency is registered, unless otherwise agreed in writing.
We're here to work together, not lawyering up — but we’re also not pushovers.
Updates to Terms
We may update these Terms of Service from time to time. When we do, we’ll update the 'Last Updated' date and make the new version publicly available on our website.
Continued use of our services after any updates constitutes your acceptance of the new terms. We encourage clients to review this page periodically — no sneaky changes, just standard policy housekeeping.
